Terms of Business for BSK Advisory
Effective Date: 19 August 2026
Introduction
These Terms of Business apply to services provided by BSK Advisory. By engaging BSK Advisory, clients agree to these Terms unless otherwise agreed in writing.
Services
BSK Advisory provides professional consulting services including:
Executive Recruitment and Search
Candidate Assessment
Remuneration Consulting
Career Advisory
Human Resources and Related Advisory Services
The scope of services for each engagement will be agreed with the client prior to commencement.
Fees and Expenses
All fees, expenses and payment arrangements will be agreed in advance and confirmed in writing.
Recruitment and Search
Recruitment fees are 15% of the successful candidate's total fixed remuneration, (TFR, per annum) plus GST.
Alternative fee arrangements may be agreed for specific assignments.
All executive recruitment assignments are undertaken on a retained basis and are invoiced in three stages:
Stage 1: One-third of the agreed fee, invoiced upon confirmation of the assignment.
Stage 2: One-third of the agreed fee, invoiced upon presentation of the shortlist.
Stage 3: The final one-third of the agreed fee, invoiced upon confirmation of the appointment.
The recruitment fee includes one standard advertisement per assignment on SEEK and LinkedIn.
If BSK Advisory introduces a Candidate to the client and the client appoints that Candidate, whether directly or indirectly, within twelve (12) months of the introduction, the applicable recruitment fee will be payable. This applies whether the appointment is for the original role or another role and whether the appointment is made by the client or an associated entity.
Any additional advertising or related costs approved by the client will be invoiced separately as incurred.
Total Fixed Remuneration means the candidate’s total gross annual remuneration, including base salary, employer superannuation contributions, allowances and the provision of a motor vehicle, valued at $20,000. Potential bonus or commission payments are excluded.
Guarantee Period
Permanent executive recruitment assignments include a six (6) month replacement guarantee, provided that:
The recruitment fee is based on the standard 15% fee structure; and
All invoices have been paid in accordance with the agreed payment terms.
The replacement guarantee is subject to the circumstances of the original appointment and does not apply where the role has materially changed or where the appointment ends due to organisational restructuring, redundancy or other factors beyond the control of BSK Advisory.
Consulting and Advisory Services
Remuneration consulting, candidate assessment, career advisory services and other consulting assignments are generally provided on either:
A fixed-fee basis; or
A daily consulting rate.
Unless otherwise agreed in writing, consulting assignments require payment of a one-third retainer upon confirmation of the assignment.
Unless otherwise stated, all fees quoted are exclusive of GST and any client-approved out-of-pocket expenses.
The applicable fee basis and payment arrangements will be confirmed in writing before the assignment commences.
Invoices and Payment
Invoices will be issued in accordance with the agreed engagement terms.
Payment is due within fourteen (14) days of the invoice date unless otherwise agreed in writing.
Confidentiality
BSK Advisory respects the confidentiality of client information and will not disclose confidential information except:
With the client's consent;
Where required by law; or
Where disclosure is necessary to provide agreed services and authorized by the client.
Clients agree to treat any proprietary information provided by BSK Advisory as confidential.
Intellectual Property
Unless otherwise agreed in writing, intellectual property in reports, advice, methodologies, templates and materials produced by BSK Advisory remains the property of BSK Advisory.
Clients may use materials provided by BSK Advisory for their own internal business purposes.
Limitation of Liability
BSK Advisory will exercise reasonable care, skill and diligence in providing services.
To the fullest extent permitted by law, BSK Advisory's liability in connection with any engagement is limited to the fees paid for the relevant services.
BSK Advisory is not liable for any indirect, consequential, incidental or economic loss arising from the use of its services or advice.
BSK Advisory assesses and presents Candidates based on the information available at the time of introduction. However, BSK Advisory does not warrant the accuracy, completeness or reliability of any information provided by or about a Candidate, including information obtained from third parties such as referees, previous employers or verification service providers.
The client acknowledges that the client is solely responsible for conducting its own due diligence and for making the final decision to engage a candidate. BSK Advisory does not guarantee that a Candidate will achieve a particular outcome or performance level or remain in the role for a specified period.
Termination
Either party may terminate an engagement by providing written notice.
Clients remain responsible for payment of fees and approved expenses incurred up to the date of termination.
Governing Law
These Terms of Business are governed by the laws of Queensland, Australia.
